OFFICIAL RULES
NO PURCHASE NECESSARY

1. ELIGIBILITY: Skype’s Free Prize Draw (the “Prize Draw”) is open to those of 18 years of age or older(“Eligible Participant”). Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and their respective household members, of Skype Communications S.a.r.l. (“Sponsor”), its parent company, affiliates, subsidiaries, divisions, advertising and promotion agencies are not eligible to enter. The laws of Luxembourg govern this Prize Draw. You must be a registered Skype member in order to receive a prize. Skype’s Free Prize Draw is not open to residents of Belgium, France, Italy, Mexico, Norway, Singapore, Spain, Sweden, Romania, Bahrain, Dubai, Australia, Hong Kong, China, India, Korea, South Africa, states of Rhode Island, Florida, New York or where prohibited.

2. FREE PRIZE DRAW TIMING: The Prize Draw begins at 00:00:01 GMT on 14 February 2011, and ends 2359:59 GMT on 20 February 2011 (the “Promotion Period”). There will be a random drawing held at the end of the Promotion Period to award 1 Grand Prize.

3. HOW TO ENTER: Send an email during the Promotion Period to competition@skype.net with a picture of you and your partner together, your first names and a short text (not more than 700 characters) introducing yourselves, your story and why Skype plays such an important role in your relationship. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. If a dispute results as to the identity of an online entrant, it will be determined that the online entry was submitted by the authorized account holder of the e-mail address / Skype User ID from which the entry is made.

4. PRIVACY: Any personal information provided by you in connection with the Prize Draw will be collected and processed by Skype Communications S.a.r.l, 23-29 Rives de Clausen, 2165 Luxembourg, under the laws of Luxembourg and in accordance of Skype Privacy Statement available at http://www.skype.com/privacy.

5. DETERMINATION OF WINNER: The potential Grand Prize winning couple will be selected in a random drawing on or about 21 February2011 from among all eligible entries received. Potential Grand Prize Winners will be notified by electronic mail on or about 21 February 2011. The winning couple will also be announced on the Skype blog as well as on the Skype page on Facebook and the Skype Twitter account. The random drawing will be conducted automatically using a computer program. Potential Grand Prize Winners may be required to sign an affidavit of eligibility/liability release and where legal, publicity release, properly executed, via overnight mail, within 7 days of issuance of notification. Non-compliance within this time frame, or if prize notification is returned as undeliverable, will result in the entrant being disqualified, and the prize will be awarded to a potential alternate winner. Odds of winning depend upon the number of eligible entries received.

6.PRIZE: A weekend (two nights in a double bedroom) for the winning couple in the Munich hotel Bayerischer Hof including champagne buffet breakfast and entrance to their Blue Spa and two drinks at their Polar Bar or in the Blue Spa. Hotel reservation must be made within twelve (12) months of notification of Prize. Actual booking dates subject to hotel availability. Reservations to be made directly by the winner Prize is not transferable; no substitutions are permitted, except by the Sponsor at its sole discretion. Travel to the hotel and any costs or expenses or taxes related to this prize not specifically stated within these Official Rules are the sole responsibility of the winner.

7. CONDITIONS OF PARTICIPATION: By entering, entrants agree to be bound by these Official Rules including all eligibility requirements. By entering the Free Prize Draw, you grant to Sponsor, its affiliates and agents a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, reproduce, copy, adapt, modify, publish, transmit, display and distribute your entry in any media, by any means and for any purpose. Receipt of entries will not be acknowledged or returned. You represent and warrant that you have obtained all relevant permissions and licences from any third parties or third party material appearing in your entry (including third party names) and the right for Skype, its affiliates and sub-licensees to use such materials on the same terms as set out in these terms and conditions; and (b) your entry will not infringe any third party copyright, patent, trade mark, trade secret or other proprietary right or rights of publicity or privacy; (c) all information in your entry is truthful and accurate.Delivery of prizes requires an email address and street address (no P.O. Boxes). By entering entering this Free Prize Draw entrantconsent to the use of his/her name, image, likeness, photography, voice, and biographical material for advertising, publicity, and promotional purposes by Sponsor, or a party designated by the Sponsor, including but not limited to, any online announcements, without additional compensation, except where prohibited by law. Winners consent (if required by Skype or the hotel Bayerischer Hof) to participation in a short media interview during their stay at the hotel Bayerischer Hof and agree to provide their mobile phone number in advance for coordination of such interview. Entrant agrees that the conditions of submission set forth in these Official Rules, and all documents and agreements incorporated in these Official Rules by reference solely govern the relationship between the entrant and Skype in connection with this Free Prize Draw.

8. LIMITATION OF LIABILITY: ENTRANTS HEREBY AGREE TO THE MAXIMUM EXTENT PERMITTED BY LAW, TO RELEASE, INDEMNIFY AND HOLD HARMLESS SKYPE COMMUNICATIONS AND EACH OF THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, DIVISIONS, ADVERTISING AND PROMOTION AGENCIES, EMPLOYEES, OFFICERS, DIRECTORS AND SHAREHOLDERS (COLLECTIVELY, THE “RELEASEES”) FROM ANY CLAIMS, ACTIONS, INJURY, LOSS OR DAMAGE OF ANY KIND, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY OR DEATH, RESULTING FROM PARTICIPATING IN THIS FREE PRIZE DRAW OR FROM THE ACCEPTANCE, POSSESSION, OR USE OR MISUSE OF ANY PRIZE AWARDED OR PARTICIPATION IN ANY PRIZE-RELATED ACTIVITY. THIS LIMITATION OF LIABILITY IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT TO THE MAXIMUM EXTENT PERMITTED BY LAW APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, INCOME, OR PROFIT; LOSS OF DAMAGE TO PROPERTY; AND CLAIMS OF THIRD PARTIES. PARTICIPANTS AGREE THAT SKYPE HAS NOT MADE NOR IS IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, STATUTORY, EXPRESS OR IMPLIED (INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE), IN FACT OR IN LAW, RELATIVE TO THE FREE PRIZE DRAW. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SKYPE DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE SKYPE SITE AND SKYPE SHALL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS RELATED THERETO. Releasees are not responsible for technical, hardware or software malfunctions, lost or unavailable network connections, inability to access a website, fraud, incomplete, garbled, or lost or delayed computer transmissions or inaccurate transcription of entry information, whether caused by the Sponsor, users or by any of the equipment or programming associated with or utilized in this promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Free Prize Draw at any time without notice, if in the judges’ opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Free Prize Draw , or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Free Prize Draw . In such event, Sponsor may void any entries they suspect are at issue and award prizes from among all eligible entries received up to the date of cancellation. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify entrants who violate the rules or interfere with this Free Prize Draw in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant’s eligibility to participate in the Skype Free Prize Draw.
